Terms of Service
Last updated: September 20, 2026
1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the UnreleasedAudio platform, websites, APIs, and related services (collectively, the “Service”) operated by UnreleasedAudio LLC (“we,” “us,” or “our”). By creating an account, distributing content, or otherwise using the Service, you agree to these Terms and our Privacy Policy and Anti-Fraud & Content Policy.
If you use the Service on behalf of a label, company, or other entity, you represent that you have authority to bind that entity to these Terms.
2. The Service
UnreleasedAudio provides music and video distribution, royalty reporting, billing, smart links, label management, and related tools. Features may vary by plan, territory, and digital service provider (“DSP”). We may modify, suspend, or discontinue features with reasonable notice where practicable.
3. Accounts & security
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding credentials and for activity under your account.
- You must notify us promptly of unauthorized access at hello@unreleasedaudio.com.
- We may require identity verification, tax information, or additional documentation before paying royalties or enabling certain features.
4. Your content & licenses
You retain ownership of sound recordings, compositions, artwork, videos, and other materials you upload (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, transcode, format, deliver via DDEX or other pipelines, display metadata, and otherwise process Your Content solely to operate the Service, fulfill your distribution instructions, and comply with law.
You represent and warrant that: (a) you control or have obtained all rights necessary to distribute Your Content; (b) Your Content does not infringe third-party rights; (c) all contributors, samples, and featured artists are properly credited and compensated; and (d) Your Content complies with our Anti-Fraud & Content Policy and applicable DSP rules.
5. Distribution & takedowns
Release submission does not guarantee placement on any store. DSPs may reject, delay, or remove content at their discretion. You may request takedowns through the Service subject to processing times and any minimum term agreed in your plan.
We may remove or block content, suspend delivery, or terminate accounts if we reasonably believe content is infringing, fraudulent, illegal, or violates these Terms or DSP policies.
6. Royalties, splits & payments
Royalty rates, fees, recoupment, and payout schedules are described in your plan, dashboard, or separate agreement. You authorize us to collect royalties on your behalf, apply agreed splits among collaborators, deduct applicable fees and taxes, and remit net amounts per your payout settings.
You are responsible for the accuracy of split configurations and tax forms. We may withhold payments when fraud is suspected, chargebacks occur, required tax documentation is missing, or accounts are under review.
7. Subscriptions & billing
Paid plans renew according to the billing cycle shown at checkout unless canceled. Fees are non-refundable except where required by law or explicitly stated. You authorize us and our payment processors (e.g., Stripe, PayPal) to charge applicable taxes and payment methods on file.
8. White-label & API use
If you operate a white-label platform or use our API, you must comply with technical documentation, rate limits, and branding guidelines. You are responsible for your end users’ compliance with these Terms. Misuse of provisioning, impersonation, or circumvention of security controls may result in immediate suspension.
9. Prohibited conduct
You may not: reverse engineer the Service except as permitted by law; scrape or overload systems; access another user’s data without authorization; upload malware; engage in artificial streaming or royalty fraud; or use the Service for unlawful purposes. See the Anti-Fraud & Content Policy for content-specific rules.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE STREAMING REVENUE, CHART PLACEMENT, OR DSP ACCEPTANCE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UnreleasedAudio LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
12. Indemnity
You will defend, indemnify, and hold harmless UnreleasedAudio LLC and its officers, directors, employees, and agents from claims arising out of Your Content, your breach of these Terms, or your violation of law or third-party rights.
13. Termination
You may close your account at any time subject to outstanding payment obligations. We may suspend or terminate access for breach, risk to DSP relationships, or legal requirements. Provisions that by nature should survive (payment obligations, licenses granted for delivered content, indemnity, limitations) survive termination.
14. Governing law & disputes
These Terms are governed by the laws of the jurisdiction where UnreleasedAudio LLC is organized, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction unless mandatory consumer protection laws in your country require otherwise.
15. Changes & contact
We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes may be notified via email or in-product notice. Continued use after changes constitutes acceptance.
